Sygnia Share Plan Approved Amid Dilution Dispute

South African asset manager Sygnia's shareholders have approved an expanded employee share-option scheme, granting founder and CEO Magda Wierzycka significant backing. The plan, which allows for increased share allocations, received 86.99% of votes cast, marking a decisive outcome in a dispute over executive incentives and shareholder dilution.
The revised scheme will increase the share limit from 15 million to 25 million, with 18 million shares remaining available for future awards. At Sygnia’s share price prior to the vote, this capacity was valued at approximately $37 million.
While the approval signifies shareholder support, it does not immediately grant executives the $37 million in question. Individual grants and vesting schedules will be determined separately, with the final allocation dependent on future performance and company decisions.
